About Synoos

Synoos provides trade infrastructure connecting Chilean fruit growers, licensed exporters, and foreign importers. We provide tools to publish bids and offers, execute standardized C7 contracts, hold funds in escrow, and monitor shipment progress.

Synoos is not a trading counterparty or broker. The purchase agreement is entered solely between buyer and seller. Our role is verifying counterparties, providing digital contract infrastructure, and releasing escrowed funds strictly pursuant to verified milestones.

Eligibility & accounts

Users must be of legal age and authorized legal representatives of a duly registered commercial entity. The Observer role is free and allows market viewing only.

Operational roles require verified compliance status. We verify corporate tax ID, national agricultural service (SAG) authorization, and food safety certifications. Unapproved applications incur zero fees.

Memberships & transaction fees

Grower, Exporter, and Importer annual tiers cost USD 600 per year, billed only upon successful company verification. The subscription remains active for twelve months.

Executed Physical Market transactions carry a 1.0% operational fee split equally between buyer and seller (0.5% each). Orders executed on the Fruit Exchange pay 0.4%. Fees are always transparently disclosed prior to contract confirmation.

Membership fees are non-refundable once company onboarding is approved. Within the first 30 days, special cancellation requests can be sent to hello@synoos.app and are reviewed on a case-by-case basis.

Marketplace rules

All published offerings must represent real, available fruit: variety, caliber, harvest window, price, Incoterm, and valid certifications. Lot photographs must be unedited and authentic.

Lots are awarded at fixed prices on a first-confirmed basis. Publishing a firm demand constitutes a binding commitment to purchase matching supply.

Submitting fictitious orders or repeated post-award defaults is ground for immediate platform suspension.

Contracts & digital signatures

Confirming a lot automatically generates a standardized bilingual purchase agreement detailing agreed specifications, quality allowances, and payment schedules.

Agreements are executed with advanced electronic signatures pursuant to Chilean Law 19.799, carrying full legal enforceability.

If the buyer fails to deposit escrow funds within 24 hours of signing, the contract is voided without penalty and the lot returns to live supply.

Escrow & fund release

Funds are deposited into dedicated segregated accounts at licensed Chilean financial institutions, held in the name of each specific trade. Synoos cannot divert these funds.

Standard milestone release schedule: 30% upon carrier BL issuance, 50% upon port arrival and initial inspection clearance, and 20% seven days post-arrival absent unresolved claims. Counterparties may specify alternate schedules.

In the event of milestone disputes, funds remain frozen in escrow until settled mutually or resolved by binding surveyor findings.

Pulse market intelligence

Pulse is an algorithmic benchmark model calibrated with aggregated commercial data from verified trades. It reflects probability bands rather than guaranteed outcomes.

Pulse does not constitute financial, investment, or legal advisory. Trading, pricing, and volume commitments are made at the sole discretion of each company.

Prohibited conduct

Users may not impersonate entities, submit altered phytosanitary documents, engage in price manipulation, access unauthorized accounts, or scrape marketplace data.

Limitation of liability

Synoos warrants the diligent operation of its software infrastructure and escrow administration. Synoos is not liable for fruit quality, port congestion, shipping line delays, or commercial market risks.

Account termination

Accounts may be closed at any time, provided all open contracts, in-transit shipments, and escrow liabilities have been fully discharged.

Governing law & jurisdiction

These Terms are governed exclusively by the laws of the Republic of Chile. Any legal dispute shall be submitted to the ordinary courts of Santiago, Chile.
